Description:In een eerder artikel is de trust aan bod gekomen en daaruit bleek dat we deze rechtsfiguur in Nederland niet kennen. Dit zou namelijk in strijd zijn met art. 3:276 BW waarin is bepaald dat schuldeisers zich op alle goederen van zijn schuldenaar kunnen verhalen. Desalniettemin creëert dit soms onbevredigende situaties zoals in het arrest Hoge Raad Procall. Hieronder wordt de problematiek uit het arrest kort uiteengezet en vervolgens wordt hiervoor een oplossing aangereikt. HR Procall Procall verzorgt voor Beatrixziekenhuis (hierna: het Ziekenhuis) de facturering en incasso. Hiervoor heeft Procall op eigen naam een rekening bij de Generale Bank met toevoeging 'inzake Coöperatie Beatrix' geopend. Op deze rekening kwamen uitsluitend betalingen binnen van patiënten van het Ziekenhuis. Op acceptgiro's stond ook vermeld dat het Ziekenhuis de begunstigde was en dat Procall de facturering verzorgde. Op een begeven moment gaat Procall failliet. Het Ziekenhuis vordert betaling van het banksaldo van Procall, alleen weigert de curator hieraan gehoor te geven. De curator meent dat de bankrekening binnen het vermogen van Procall valt en dus binnen de boedel. De Hoge Raad geeft de curator gelijk, omdat de schuldenaar in beginsel met zijn gehele vermogen voor zijn schulden in staat tegenover alle schuldeisers. Wanneer in deze situatie een zogeheten 'kwaliteitsrekening' zou ontstaan, zou daarop een uitzondering worden gemaakt. Kortom, het Ziekenhuis trekt aan het kortste eind. Lastgeving Middels lastgeving had voormelde situatie anders kunnen aflopen, waardoor uiteindelijk het Ziekenhuis op het geldbedrag aanspraak had kunnen maken. Het Ziekenhuis (lastgever) zou in deze situatie een overeenkomst van opdracht afsluiten met Procall (lasthebber). Hierdoor wordt Procall verplicht om rechtshandelingen te verrichten voor rekening van het Ziekenhuis. Hiermee wijkt lastgeving af van volmacht, aangezien volmacht slechts bevoegdheid maar geen verplichting geeft tot het verrichten van rechtshandelingen. In deze situatie zou Procall wederom een rekening op eigen naam bij de Generale Bank (derde) openen waarop Procall alle betalingen, welke gericht zijn aan het Ziekenhuis, ontvangt. Als Procall vervolgens failliet gaat, kan het Ziekenhuis een schriftelijke verklaring doen aan zowel Procall als de Gernale Bank om de rechten van de bank jegens Procall op zichzelf te doen overgaan. Middels deze constructie valt het saldo op de rekening waarop de patiënten van het Ziekenhuis betalen niet in het vermogen van Procall ten tijde van faillissement, maar binnen het vermogen van het Ziekenhuis. Kortom, een ideale oplossing op voormelde problematiek. HR 13 juni 2003, ECLI:NL:HR:2003:AF3413 (Procall). Zie art. 7:414 BW. Zulks volgt uit art. 7:420 lid 1 BW.
